The 3 in AM3 means it ONLY works with DDR3.

AM2+ boards support DDR2 and newer Phenom II processors.

Hi there,

as far as I'm aware the AM3 motherboards only support DDR3 RAM so you won't be able to use the DDR2 memory that you have if you buy an AM3 socket motherboard.

Because your motherboard is quite old now it doesn't offer much in the way of support for the higher end AM3 Processors and a quick look through the CPU Support list shows that the best you will be able to do on your current board is if you can get hold of a Phenom ii X4 955 C3 95 Watt version CPU.
The full CPU Support List can be found here: http://www.gigabyte.com/support-downloads/cpu-support-popup.aspx?pid=3008 N/A in the last column means that the CPU isn't supported.

As far as I know the Phenom ii X4 955 C3 95 Watt version CPU was only available as oem. It's almost impossible to get hold of one.
