Title: GA-990FXA-UD3 based system randomly powers off?

Hey there, I know this could be any number of problems, but I've run a stress test over a 72h period and nothing failed.

System is this:

GA-990FXA-UD3
AMD FX-8150
G.SKILL Ripjaws Z Series 32GB
XFX Core Edition PRO750W

The system is currently being used as a VMware ESX host to run about 4 vm's.

The problem is it just shuts down, at random times. It's plugged into an APC 3300 UPS, so it shouldn't be a power issue.  None of the alarms for heat/fan speed trigger.  It's only about 8 months old and this just started happening maybe 2 months ago.  Has anyone seen anything similar?  Does Gigabyte have any diagnostic software I can throw at it?

PSU < ->  UPS incompatibility ?!
Remove the UPS and see what happens.
