Asus PLDE2 vs Gigabyte GA965p DS3 Rev 1.0

So this friend of mine gave me a Gigabyte GA965p DS3 Rev 1.0 with Intel CPU Xeon 3070. I got a few other things in exchange for a Antec modular PS.

What I want your opinion on is do I swap out the Asus for the Gigabyte and use the Xeon 3070.

My current build is:
ASUS PLD2 Rev 1
Chipset Intel i945P
Southbridge ICH7/R
Max supported PCI Express x16
CPU Intel Pentium E2180
Memory 2 pairs of Gskill 2GB DDR2 PC2-1066 = 4GB
Graphics ATI Radeon 3850
XP Pro
I've done a lot of work over clocking the machine as well as noise levels.
Currently Core Speed 3334.7 Mhz
Multiplier x10
FSB 1333.82

I'm counting on a direct increase from the XEON 3070 considering larger cache and other things. I know that the Xeon is basically the same 'die' as the e2180

I want you opinion what the Gigabyte board will add in performance.
I will first swap the E2180 with the Xeon 3070 and see how that goes then, if I feel that the Gigabyte board will increase performance further I will take the Asus board out and put the Gigabyte board in.

What have others got out of the Gigabyte GA965p DS3 Rev 1.0 with a Xeon 3070. What were you able to get out of it?
The big gain should be the 3070 with 4 MB L2 Cache, FSB 1066. What kind of voltage are people using for the Xeon 3070?

965 chipset should give you slight advantage in speed comparing to 945
the biggest factor of possible performance increase is cpu's change

BUT i can't find this cpu on the supported ones list: :-X
